Dell xps gen2 worth upgrading?

Hey guys, just wanted some input on upgrading an old Dell I have in the back room.
Dell Dimension xps gen2
CPU - P4 3.0 Ghz, Northwood socket 478 mPGA
Cache - L1-8kb, L2-512kb
MB - 0u2424 planar, socket N 478
Chipset Intel i875p, 800 Mhz FSB
Memory - 1024 Mb DDR SDRAM, dual channel pc 3200, 200 Mhz
(2 sticks 512), 2 slots open
Video - AGP 8x version 3, PNY Geforce 7600 GS, 512 DDR2
HD - Maxtor 75 Gb
Samsung CD-R/RW
Samsung DVD rom
Its slow compared to todays standards, so Im thinking of upgrading this to a PCIE MB. Nothing fancy, just a bit more modern without breaking the bank. Any suggestions or recommendations?
