BSOD help

I can't find a good place to put this. I think its software problems and not hardware since everything seems to be pretty good for me hardware wise.

my current set up
amd 3600 x2 @2.8
team elite ddr2 800 @770 (lowered to 533 and raised to 770) 3gb of it
timings are 4-4-4-11
8600gt modded to gts @ 750/1800 from 540/1400

I get a BSOD randomly upon start up. Not always but, sometimes. If I have the problem I just restart a few times and it goes away for a bit. When its doing this I've loosened my ram timings, I've lowered my FSB overclock I even removed sticks of ram

This is leaving me to believe its a software issue.
the BSOD codes are

C0000145
O OR 0 not 100% sure with the letter or number on this next part
0XC0000142
Being that the numbers are so close I'm thinking they are related and seemingly just off a random hypothesis thinking its ram on different timings. But, its just a guess. As I said I've removed my 2x1gb ram both of them and error occurred and also removed the 2x512mb and installed the 2x1gb and it was still there..
Also hardware doesn't tend to work 50% of the time so.. any ideas?

run memtest on the ram

Make sure your drivers are updated too

driver issues. I have a pci bridge device and sm bus controller. that are not working right.
But, If I install the drivers it installs and makes me use onboard audio instead of my card.. How do you fix such an error

maybe I did the stupid thing. I just uninstalled the yellow icons since they were onboard audio and I use a card.

ok, mem test is saying its failing.. So I'm confused on why. I have ddr2 800 but,.. its only at 740. If I crank up the volts is it ok?

get this,
I raised my ram to 900mhz ok.. let mem test run for 10 mins nothing wrong.....
ok then I lowered it back down where I usually have it at around 760.. and its fine...
driver issues.. sound.. I'm using a audio card and having problems with the onboard wanting to take over.
here is what exactly happens..
I boot windows
makes it past the splash screen right..
desktop shows up, my gui shows up then all my stuff turns to like windows 95 style and crashes.
When it boots fine my windows logs on perfect and my skins and themes are applied. What would make this happen sometimes? I'm reinstalling windows now. But, I hate the hassle of since I changed my mobo they don't like to say its legit till I call them. And tell them I upgraded

maybe its just luck. but, it doesn't do it anymore after I installed windows again.. so driver issue maybe

if anyone runs into this problem, and your memory is fine the only solution I see is reinstall windows.. No one else had any other ideas

If your RAM is fine but you are getting errors it is setup wrong. Fix this one of two ways...
1) Loosen your RAM timings. I see you are running 4-4-4-11 so try 5-5-5-15 and see if you still get errors.
2) Supply your RAM with more voltage. While your RAM might be rated to run at 1.8V that doesn't mean it can once you start overclocking it.

Also those yellow icons you mentioned are associated with your chipset. You need to get the appropriate chipset drivers from Intel, nVidia, AMD, VIA, or SiS. To disable your onboard sound you need to do that in the BIOS. Even if you leave it on with the drivers installed you can still run an aftermarket card. I just wouldn't recommend it.
