I'd get the motherboard, from what I saw the P35 chipset generally overclocks better and your RAM is already very good.

what cooler for the cpu do you have? stock? air (if so what?) or water? I think all the things you have should be fine if you are looking just for cpu and/or gpu overclocking. the ram you have is a littler slower but should oc fine. if you are looking to oc your ram. have you tried much as is? the weakest part you have is your motherboard, but i've seen good results with it. I think you could try something like p5n-e or a p6 for cheaper and get great results also. I think you need to check into your full capacity as is.
