It's possible that your board doesn't really support overclocking.

What specific model is is?

dg33fb is the specific #. im pretty sure that at one time i decided that this particular board couldn't oc but i wasn't sure. the msi that i am getting has virtually the same specs and is cheap because im getting it from a friend that went mac =(
might throw this board in a pc for my boss.

Fair enough then, as long as you're sure the msi is ok with overclocking then go for it.

What MSI board are you getting, I had a MSI P6N SLI a while back and it was able to push a 1.8 GHz E4300 up to 3.7 GHZ. At the time it was one of the cheapest MSI C2D Nvidia based boards out there.

I would recommend ASUS boards. Stay away from boards that use the 945 chipset.
try get a board that uses the P35 chipset. There are a few good budget boards out there.

Gigabyte also have some nice boards that are cheap'ish* and overclock well (*good boards that overclock cost ~$100 and up)

What's your budget? Anywhere from ~$100 to ~$300 is the price range for good boards. The higher end boards are not essential though!
An ASUS P35 chipset based board would work perfectly with your CPU! ASUS boards are stable, fast, very easy to overclock and have great support. The P35 chipset from Intel is designed for CPU's with a 1333MHz FSB so if your using the E6600 which has a FSB of 1066, then OC'in is in the bag ;) The P35 will also support the recently 45nm based chips from Intel, so your OK for upgrading in the future.
The only issue with the P35 chipset is that it doesn't run both PCIe slots at 16x speed when running crossfire (multiple ATI cards), you'll need the X38 or X48 (expensive) boards for this.

BIO: The MSI board is a G31M. The guy im getting it from is also wondering about an ECS P4 M800 Pro.

The big reason for me oc ing is for pro tools recording software that i can run a crap load of plug ins on.

Also im running 1G X 2 patriot DDR2 800 mhz 5-5-5-12 which treats me well. what are your(anyone) feelings about this?

Thanks for all of the help so far. You guys are great.
