Dead Processor or Motherboard?

Hi all-
Thanks for ny help in advance.

I have a XFX nForce 680i LT SLI Socket 775 with a Intel Quad Core Kentsfield 2.4Ghz Q6600 CPU and after a reboot the computer didn't come back. When I try to turn the computer on I get nothing. No video, no beeps, nothing. So I stripped the machine of RAM and all HD and PCI cards and took the processor out. Here is what happened:

1. Without the processor the computer turns on and then shuts off about 10 seconds later. No beeps.
2. With the processor and nothing else attached, the computer turns on but no beeps (I should get beeps with no RAM installed).
3. With Video, 1 RAM stick, and processor the computer turns on but no beeps.

So I'm wondering, bad Motherboard or bad procossor? If it's a bad board will nForce replace it? It's only 3 months old?

nForce wouldn't, but the company that makes it, XFX would. :ANAL:

Are you able to get hold of another CPU (beg/borrow/steal) to try it out to see if it is indeed the mobo or CPU.

I presume that it was all working fine to start off with and then it died?
